MASTER TERMS OF USE AND SERVICE AGREEMENT
(Applicable to robobionics.in, rehab.robobionics.in, and impact.robobionics.in)
Effective Date: 1st December 2025
1. INTRODUCTION AND ELECTRONIC CONTRACT
This Master Terms of Use Agreement (“Agreement”) is an electronic record in terms of the Information Technology Act, 2000 and rules made thereunder. This Agreement is generated by a computer system and does not require physical or digital signatures.
These Terms govern your access to and use of the websites, mobile applications (“Apps”), and services provided by Bionic Hope Private Limited, trading as Robo Bionics® (“Company,” “We,” “Us,” or “Our”), a company incorporated under the Companies Act, 2013, having its registered office at Pearl Haven, 1st Floor, Manickpur, Vasai Road (West), Palghar – 401202, Maharashtra, India.
By clicking “I Accept,” or by accessing the Platform, You (“User,” “Patient,” “Clinician,” or “Buyer”) agree to be bound by these Terms.
2. INTELLECTUAL PROPERTY RIGHTS
2.1. Ownership:
You acknowledge and agree that all intellectual property rights in the Platform, Devices, Software, and Algorithms are the exclusive property of Bionic Hope Private Limited.
2.2. Trademark Notice:
- Registered Trademarks: Robo Bionics® and Grippy®.
- Common Law Trademarks: Rehab Connect™, Impact Dashboard™, WeightBand™, and BrawnBand™.
- Unauthorized use, reproduction, imitation, or reverse engineering of these assets is strictly prohibited and will invite legal action under the Trade Marks Act, 1999 and Copyright Act, 1957.
3. AGGREGATOR AND INTERMEDIARY TERMS (Rehab Connect)
3.1. Intermediary Status:
Rehab Connect acts solely as an “Intermediary” under Section 2(1)(w) of the Information Technology Act, 2000. We provide a technology platform to connect Patients with RMPs (Registered Medical Practitioners) and Clinics. We do not provide medical advice, diagnosis, or surgical services directly.
3.2. Clinical Outcome Disclaimer:
Robo Bionics provides assistive technology (Grippy®) and monitoring tools (BrawnBand™). We do not guarantee specific rehabilitation outcomes.
- Physiological Variation: Recovery speeds and prosthetic adaptation vary based on individual physiology and patient adherence.
- No Liability for Treatment Failure: Robo Bionics is not liable for the failure of any specific physiotherapy plan or lack of functional restoration, provided the Device is functioning within its manufacturing specifications.
3.3. “Verified” vs. “Authorized” Status:
- Verified Clinic: Indicates that We have performed a preliminary document check of the Clinic’s existence and the RMP’s registration with the Rehabilitation Council of India (RCI).
- Authorized Clinic: Indicates that the Clinic has undergone technical training on Robo Bionics’ proprietary MMG-based devices (e.g., BrawnBand™, Grippy®).
- Strict Liability Disclaimer: “Authorized” status constitutes a technological certification of the clinic’s ability to interpret MMG signals and operate Our devices. It does not constitute a medical endorsement. The relationship between Robo Bionics and the Clinic is on a Principal-to-Principal basis. We are not vicariously liable for the negligence or malpractice of any “Authorized” or “Verified” clinician.
3.4. Telemedicine Compliance:
Users engaging in tele-rehabilitation acknowledge that such services are governed by the Telemedicine Practice Guidelines, 2020. You consent to the recording of tele-consultations for medical records, as mandated by the Guidelines.
4. E-COMMERCE TERMS (e-shop on robobionics.in)
4.1. Product Descriptions:
For 3D-printed products (Gifts/Prosthetics), minor variations in layer texture, surface finish, or color shade are inherent to the additive manufacturing process and do not constitute a “defect” under the Consumer Protection Act, 2019.
4.2. Impact Initiatives:
For items marked as “Impact Gifts,” “Gifts,” or “Toys,” a portion of proceeds is allocated to internal CSR or beneficiary support programs. These are commercial transactions and not charitable donations eligible for tax deductions under Section 80G of the Income Tax Act, 1961.
4.3. Safety Restriction on Accessories:
Items marked as “Prosthetic Accessories” (e.g., Power Units, Tendon Kits) must be installed only by a Robo Bionics trained Technician or an RCI Registered Prosthetist. Any attempt by a User to self-install or modify these components voids all warranties and indemnifies Robo Bionics against any resulting injury or damage.
5. INDEMNITY, LIABILITY, AND STANDARDS
5.1. Limitation of Liability (50% Cap):
To the maximum extent permitted by Indian law, and except in cases of proven gross negligence or wilful misconduct by the Company:
- Robo Bionics’ total aggregate liability for any claim arising out of these Terms, the use of the Product, or any Service deficiency shall be strictly limited to 50% (Fifty Percent) of the Order Value paid by You for the specific Product or Service involved.
- We are not liable for secondary injuries caused by using the prosthetic for heavy machinery operation, driving, or unapproved activities.
5.2. Indemnity:
You agree to indemnify, defend, and hold harmless Bionic Hope Pvt Ltd from any claims, damages, or legal fees arising from:
- Your misuse of the Device or Platform.
- Your violation of these Terms.
- Failure to disclose pre-existing medical conditions.
5.3. Force Majeure:
Robo Bionics shall not be liable for any delay or failure to perform obligations due to causes beyond reasonable control, including but not limited to acts of God, pandemics, war, strikes, cyber-attacks, or supply chain disruptions affecting electronic components.
5.4. Compliance Standards (IEC & ISO):
- Manufacturing Quality: Our medical devices are manufactured in a facility compliant with ISO 13485:2016 quality management standards.
- Electrical Safety: Our active devices (Grippy®) are designed and tested to adhere to IEC 60601-1 (Medical electrical equipment – Part 1: General requirements for basic safety and essential performance) and IEC 60601-1-2 (Electromagnetic disturbances) standards.
6. DISPUTE RESOLUTION AND GENERAL PROVISIONS
6.1. Governing Law & Jurisdiction:
This Agreement shall be governed by the laws of India. Subject to the arbitration clause, the courts in Mumbai, Maharashtra shall have exclusive jurisdiction.
6.2. Arbitration:
Any dispute arising out of this Agreement shall be referred to a Sole Arbitrator appointed by Robo Bionics. The seat and venue shall be Mumbai. The arbitration shall be governed by the Arbitration and Conciliation Act, 1996.
6.3. Severability:
If any provision of these Terms is held invalid, the remainder shall continue in full force.
6.4. Grievance Redressal (Mandatory):
In compliance with Rule 5(9) of the Consumer Protection (E-Commerce) Rules 2020:

6.5. Modification of Terms:
We reserve the right to modify these Terms at any time. Material changes will be notified via email or a prominent notice on the Platform. Continued use of the Services after such changes constitutes your acceptance of the new Terms.
6.6. Assignment:
You may not assign, transfer, or sub-license your rights or obligations under this Agreement (including the transfer of warranty to a second-hand buyer) to any third party without Our prior written consent.
